On its surface, that sounds like a narrow consumer-protection measure. But the statute’s definitions are anything but narrow. “Substantial factor” is defined to include any use of an AI system to generate any content that is used as a basis for a consequential decision. Read that again. If a general-purpose AI model produces a paragraph of text, and someone downstream uses that text as an input in a hiring decision, the model’s developer has been pulled into Colorado’s regulatory orbit. The trigger is not the developer’s intent. It is the downstream user’s application, however attenuated, however unforeseeable. A statute that claims to regulate “high-risk” decisions has been engineered to reach virtually any AI system capable of generating useful language.

That breadth alone would raise serious constitutional questions. But the real poison is in the statute’s definitional carveouts. SB24-205 defines “algorithmic discrimination” broadly as unlawful disparate treatment or impact. So far, so standard. Then it exempts certain forms of “differential treatment” from that definition, including practices designed to “increase diversity” or “redress historical discrimination.” In plain language, Colorado has told AI developers: discrimination is unlawful, unless it serves our preferred social objectives, in which case it is not discrimination at all. The state has embedded a contested, politically charged moral judgment into the architecture of technical compliance. If you build a system that treats people differently in ways the state approves, you are safe. If you build a system that treats people equally in ways the state disapproves, you may face enforcement.

This is not a neutral regulatory framework. It is viewpoint discrimination codified in statute. xAI’s complaint frames the issue precisely: SB24-205 “embed[s] the State’s preferred views into the very fabric of AI systems.” The carveout does not merely permit developers to pursue diversity goals voluntarily. It creates an asymmetric enforcement landscape in which the only safe harbor for differential treatment is the one aligned with the state’s ideological commitments. A developer who calibrates outputs to “increase diversity” as Colorado defines it gets a pass. A developer who declines to do so, or who pursues a different conception of fairness, faces the full weight of the statute’s compliance obligations, impact assessments, risk management programs, and potential enforcement by the Attorney General.

The First Amendment does not permit this kind of selective pressure. The Supreme Court’s compelled-speech doctrine, from West Virginia State Board of Education v. Barnette through Janus v. AFSCME, stands for the proposition that government may not force private speakers to adopt or transmit messages they would not choose on their own. xAI’s complaint (Count I) argues that SB24-205’s duties effectively compel model outputs and alter expressive content, using a politicized definition of “algorithmic discrimination” as the lever. Count II targets the statute’s mandatory disclosure provisions, which require developers to publish statements, produce documentation for deployers, and report to the Attorney General, as compelled speech beyond the “purely factual, uncontroversial” threshold the Court has recognized for commercial disclosures.

One might object: is AI output really “speech” for First Amendment purposes? The question is less settled than either side would prefer, and scholarly literature has debated when AI outputs should be treated as speech, whose speech they are, and how traditional compelled-speech doctrine applies to probabilistic systems. But xAI need not prove that every chatbot response is constitutionally protected expression. It need only show that SB24-205’s compliance framework constrains the design and calibration of a system whose outputs are expressive in character, and that those constraints are content-based and viewpoint-selective. The statute’s own text does much of that work. It expressly includes “content” in definitional triggers. It ties compliance obligations to the substance of what a system produces. And it sorts permissible from impermissible differential treatment according to the state’s normative preferences on diversity and historical discrimination, terms the statute does not define with any precision.

The vagueness problem is severe. Count V of xAI’s complaint argues that terms like “reasonable care,” “reasonably foreseeable,” “diversity,” and “historical discrimination” fail to give fair notice of what conduct is prohibited. How is a developer supposed to know, ex ante, whether its system exercises “reasonable care” to avoid “algorithmic discrimination” when the boundary between prohibited discrimination and permissible “diversity enhancement” is drawn with contested moral vocabulary? Colorado’s own Attorney General implicitly conceded the problem when the AG’s office issued pre-rulemaking materials that explicitly asked stakeholders about ambiguity, overbreadth, and burdens. If the state’s chief enforcer does not know what the statute means with sufficient clarity to write implementing rules, developers can hardly be expected to comply with confidence.

What makes xAI’s case especially compelling is that Colorado’s own leadership has repeatedly acknowledged the statute’s defects. Governor Jared Polis signed SB24-205 in May 2024 “with reservations,” warning that a state “patchwork” can deter innovation and urging stakeholders to “fine tune” the law before it takes effect. In June 2024, Polis joined with then-State Representative Robert Rodriguez and Attorney General Weiser to issue a public letter promising revisions, explicitly flagging that the law’s definitions and proactive disclosure scheme could impose “prohibitively high costs.” They discussed narrowing definitions, focusing on developers rather than small deployers, and considering shifts away from proactive disclosure to after-the-fact enforcement. In his September 2024 remarks, Weiser himself emphasized a “risk-based” approach and warned that overbroad AI oversight could chill innovation.

None of those promised revisions materialized in substance. Instead, the legislature passed SB25B-004, which simply postponed the effective date to June 30, 2026. The law remains essentially as enacted, notwithstanding the governor’s reservations, the AG’s concessions, and private-sector analyses in early 2026 suggesting SB24-205 “could be on the chopping block.” As of today, the statute’s core definitions, carveouts, compliance mandates, and enforcement structure remain intact, and they remain constitutionally suspect.

The Commerce Clause arguments reinforce the First Amendment claims. Counts III and IV of the complaint argue that SB24-205 is an impermissible extraterritorial regulation and imposes an undue burden on interstate commerce. The logic is straightforward. AI systems are deployed across state lines. A model trained in one jurisdiction serves users in all 50 states and beyond. SB24-205 is triggered by impacts on Colorado residents, even when the developer and the AI system are located elsewhere. In practice, this means Colorado has unilaterally declared the authority to regulate the design, documentation, and operational calibration of AI systems built by companies that may have no meaningful connection to the state beyond the fact that someone in Denver used their product. Congressional hearing memoranda discussing state AI legislation and preemption debates have cited estimates that startups spend roughly $100,000 to $300,000 to comply with a single state privacy law, plus $15,000 to $60,000 per additional state privacy law. Scale that to a 50-state patchwork of AI-specific regulation, each with its own definitions of “high-risk,” “algorithmic discrimination,” and “reasonable care,” and the compliance burden becomes crippling, particularly for smaller innovators who lack the legal departments of the largest technology companies.

His administration’s approach to AI regulation has consistently emphasized federal leadership, innovation-friendly frameworks, and resistance to the kind of ideologically motivated regulatory overreach that SB24-205 represents. Congress should act on that vision. A federal AI regulatory framework that preempts the worst excesses of state regulation, establishes clear and consistent standards for high-risk applications, and protects the First Amendment rights of developers and users is not a deregulatory fantasy. It is a competitive necessity.

The conservative interest in this fight is especially acute. The diversity and historical-discrimination carveout in SB24-205 is not an abstract legal technicality. It is a mechanism for embedding progressive social commitments into the operational DNA of AI systems. If “increase diversity” and “redress historical discrimination” are the only permissible justifications for differential treatment, then the systems that survive regulatory scrutiny will be the ones that produce outputs aligned with a particular ideological worldview. Systems that adopt different normative commitments, that prioritize individual merit over group-based balancing, that treat contested social-science claims about historical discrimination with appropriate skepticism, will be systematically disadvantaged. Over time, the regulatory pressure will shape not just what AI systems do, but how they think, and by extension, how the hundreds of millions of people who rely on those systems access information and form judgments.

This is not hypothetical. We have already seen how ideological capture operates in technology platforms. The major social media companies spent years calibrating their content moderation systems to reflect progressive editorial preferences, suppressing conservative viewpoints under the banner of combating “misinformation” or “harmful content.” SB24-205 threatens to institutionalize that same dynamic at the level of AI model design, with the backing of state enforcement power. xAI, whose flagship product Grok is publicly described as a “maximally truth-seeking assistant,” has particular standing to resist this regime, but the principle extends to every developer who believes that AI systems should be designed to pursue accuracy and fairness rather than to satisfy the normative preferences of state officials.

Notably, xAI already imposes contractual guardrails against harmful and illegal uses, including prohibitions on high-stakes automated decisions in areas like employment, housing, and lending. Its acceptable use policy requires lawful use, safety, and transparency about AI outputs. These voluntary measures show that responsible AI governance does not require Colorado’s ideological overlay. A developer can protect consumers from genuine harms, provide transparency, and maintain ethical guardrails without submitting to a compliance regime that sorts permissible from impermissible outputs according to the state’s political convictions.

The deeper lesson of xAI v. Weiser is that the American constitutional order does not tolerate government-mandated viewpoints, regardless of the policy domain in which they are imposed. Colorado’s defenders will argue that SB24-205 is merely a consumer-protection statute, that it regulates conduct rather than speech, and that its disclosure provisions are akin to standard commercial requirements. Those arguments have surface plausibility, but they cannot survive scrutiny of the statute’s actual text and operational logic. A law that defines “algorithmic discrimination” to exclude the state’s preferred forms of differential treatment, that imposes compliance obligations triggered by the content of AI outputs, and that creates an enforcement asymmetry favoring one set of normative commitments over another is not a neutral conduct regulation. It is a speech code dressed in regulatory clothing.

The court should see it for what it is. Congress should act before 49 more states follow Colorado’s lead. And the American people should understand that the fight over AI regulation is not a technical dispute about compliance processes and risk assessments. It is a fight over whether the government gets to tell the machines, and through the machines, the people, what to believe.
